1. Definitions

  • API: any application programming interface provided by RefChecker for integration purposes.
  • Data: any information, files, or contents submitted by you or generated through your use of the Service.
  • Third-Party Services: external services, software, or applications used in connection with the Service.
  • Sensitive Personal Information: personal data of a sensitive nature (e.g., health, financial, legal, or regulatory data), as defined by applicable laws like GDPR or similar frameworks.

2. Use of the Service

2.1 Access

  • Access to the Service requires creating an account and purchasing Credits.
  • No Emergency Services: The Service is not for emergency communications and does not replace traditional emergency telephone services (e.g., 000, 911, 112).

2.2 Credits & Add-Ons

  • Credits are used to access both Reference Checks and any purchased add-ons.
  • Credits do not expire and have no monetary value. They are non-refundable and cannot be exchanged for cash.

2.3 API Access

  • If API access is granted, it may be subject to additional fees.
  • API usage must not disrupt the Service, violate these Terms, or infringe upon third-party rights.
  • We reserve the right to limit or revoke API access if usage is deemed excessive, abusive, or harmful.

3. Your Obligations

You agree to:

  • Provide accurate and complete account registration information.
  • Use the Service lawfully and responsibly—not for fraudulent, harmful, or illegal purposes.
  • Not reverse engineer, decompile, or attempt to extract the Service’s source code.
  • Take responsibility for all activity under your account, including those by authorized users.
  • Notify us immediately of any unauthorized use or security breach.
  • Not use the Service to collect, store, process, or transmit Sensitive Personal Information, unless explicitly agreed in writing.
  • Refrain from unsolicited advertising, marketing, or spam-like activities, ensuring compliance with relevant laws.
  • Not upload or transmit Data that is unlawful, defamatory, obscene, harassing, infringing, or otherwise objectionable.

4. Fees and Payments

4.1 Fees

  • All fees for Credits and add-ons will be clearly displayed before purchase.
  • Fees exclude applicable taxes; you are responsible for any taxes due.

4.2 Payment

  • Payment is due upon purchase. Fees are generally non-refundable unless required under law.
  • Non-payment may result in suspension or termination of your account.

4.3 Fee Adjustments

  • Month-to-Month Customers: Fee changes will be communicated with at least 30 days’ notice.
  • Annual Customers: Fees remain fixed for the term; any changes apply only upon renewal.

4.4 Cancellation

  • You may cancel your account at any time before your next billing cycle to avoid charges for subsequent periods.

5. Data and Privacy

5.1 Compliance

  • RefChecker will handle personal data in accordance with applicable privacy laws, including data protection regulations such as GDPR where relevant.
  • Please refer to our Privacy Policy and Data Processing Agreement for more details.

5.2 Data Removal

  • If RefChecker receives a valid complaint regarding unlawful Data in your account, we will notify you promptly.
  • You must respond within 1 business day with remediation steps.
  • Failure to act may result in us removing the disputed Data if necessary to ensure legal compliance.

6. Intellectual Property Rights

6.1 Ownership

  • All intellectual property in the Service—including software, designs, APIs, trademarks, and documentation—is owned by RefChecker Ltd or its licensors.

6.2 License to You

  • Subject to compliance, you receive a limited, non-exclusive, non-transferable, revocable license to use the Service for internal business purposes.

6.3 Your Data

  • You retain ownership of any intellectual property in your Data.
  • By using the Service, you grant RefChecker Ltd a non-exclusive, worldwide, royalty-free license to use, process, store, and display your Data solely to provide the Service.

7. Confidential Information

  • Each party agrees to maintain confidentiality of the other’s sensitive business or technical information.
  • This obligation survives termination of the Terms.

8. Third-Party Services

8.1 Integration

  • You may connect third-party services to your account, but you must also review and adhere to their own terms and conditions.

8.2 Disclaimer

  • RefChecker is not responsible for the availability or content of third-party services.
  • Use of such services is at your own risk.

8.3 Data Access

  • Where you connect third-party services, you permit us to provide access to your Data as needed for integration.

9. Publicity

  • You consent to RefChecker using your business name and logo as a customer in promotional materials.
  • To opt out, please notify us in writing.

10. Termination

10.1 By You

  • You may terminate your account at any time by closing it.

10.2 By Us

  • We may suspend or terminate your access if:
    a. You breach these Terms.
    b. You fail to pay when required.
    c. We believe your use is harmful or unlawful.

10.3 After Termination

  • Any remaining Credits will not be refunded.
  • Your Data will be deleted within 30 days of account termination. Please export any Data you wish to retain.

11. Disclaimer of Warranties

  • The Service is provided “as is” and “as available,” with no warranties, express or implied.
  • No guarantee of uninterrupted, secure, or error-free service is provided.

12. Limitation of Liability

  • To the extent permitted by law, our total liability is limited to the amount you paid in the past 6 months.
  • We are not liable for indirect or consequential damages, lost data, lost profits, or business interruption, except where prohibited by law.

13. Indemnification

You agree to indemnify and hold RefChecker Ltd harmless against claims, losses, damages, liabilities, or expenses arising from:

  • Your Data.
  • Your use of Third-Party Services.
  • Your breach of these Terms.

14. Governing Law

  • These Terms are governed by the laws of [jurisdiction—please specify].

15. Modifications to the Terms

  • RefChecker may update these Terms occasionally.

  • Force Majeure: Neither party is liable for delays due to uncontrollable events (e.g., natural disasters, internet outages).

  • Waiver: Failure to enforce a right is not a waiver of that right.
  • Assignment: You may not transfer these Terms without prior written consent; RefChecker may.
  • These Terms, along with linked agreements (Privacy Policy, Data Processing Agreement), constitute the entire agreement.
